Ariana Resources PLC has agreed to an all-share merger with Rockover Holdings and dual-list the new enlarged company in London and on the Australian Securities Exchange.

Currently, Ariana has a 2.1% stake in Rockover, which owns 100% of the 1.3Moz Dokwe gold project in Zimbabwe.

Following the merger, Ariana shareholders will own around 62.5% of the enlarged company with Rockover shareholders having the remainder.

On completion, the company will still be known as Ariana Resources.

Kerim Sener, Ariana’s managing director, commented he was thrilled by the deal which adds an opportunity to acquire a major new gold development project and expands the miner beyond its well-established Turkish operations.

“The planned addition of the c.1.3Moz Dokwe gold project to our portfolio as a wholly-owned asset marks a substantial step toward our stated aim of establishing a global resource base of approximately 5Moz by 2025*,” he added.

“This transaction, based on a substantially derisked, feasibility stage project, which contains >95% of its JORC Compliant Mineral Resources in the Measured and Indicated categories aligns closely with our strategic objectives.

“Furthermore, the acquisition metrics of this project are very similar to our historic discovery cost, demonstrating that Dokwe represents an excellent value proposition.

“Based on a Pre-Feasibility Study completed for Dokwe in 2022, we anticipate advancing the Dokwe project towards production within the next three years, at a proposed annual production rate of 60,000oz increasing to potentially 100,000oz of gold over approximately ten years based on current Resources and Reserves.

“Our confidence in this project has developed in parallel with the positive jurisdictional improvements witnessed in Zimbabwe since late 2017, particularly the dollarisation of their economy, support of a government which recognises the value of its mining industry (accounting for 12% of a GDP of c.US$30 billion) and which encourages foreign investment in the sector for the benefit of its people.”

A Pre-Feasibility Study (2022) on the Reserves at Dokwe based on a mine life of 13 years generated a post-tax NPV10 of US$72 million and an IRR of 25% at a gold price of US$1,650/oz; though that economic model is currently being revised said the statement.

Arsenal keeps up Premier League title push with 3-0 win over Bournemouth

Spread the love

LONDON — Arsenal maintained its pursuit of the Premier League title with a 3-0 win over Bournemouth that lifted Mikel Arteta’s team four points clear of second-place Manchester City on Saturday.

City can reduce the gap back to one point by beating Wolverhampton later and still has another game in hand.

Bukayo Saka converted a penalty in the 45th minute after a trip on Kai Havertz before Leandro Trossard and Declan Rice added second-half goals at Emirates Stadium to secure Arsenal’s fourth straight victory in the league.

Arsenal, seeking its first league title since 2004, has two matches still to play — at Manchester United and home against Everton.

Havertz won the penalty in the 42nd minute after running onto a through-ball and rounding Mark Travers, only for the goalkeeper to clip the Germany international’s trailing leg.

Saka made it six from six from the penalty spot this season with what was Arsenal’s 16th shot of the match at that point.

Bournemouth came into the game more in the second half but lost hope when Rice teed up Trossard, who curled in a low shot from inside the area in the 70th.

Rice ran onto Gabriel Jesus’ pass and scored in the seventh minute of stoppage time to wrap up the win.

At 2-0, Ryan Christie had a goal for Bournemouth disallowed for a push on Arsenal goalkeeper David Raya by Dominic Solanke in the buildup, with a VAR check not changing the decision of the on-field referee.

STUTTGART, Germany — Bayern Munich left back Raphaël Guerreiro was injured early in the team’s Bundesliga game at Stuttgart on Saturday, a blow for the Bavarian powerhouse ahead of its Champions League semifinal at Real Madrid.

The Portugal international went off in the 17th minute after stretching too far for the ball. It seemed to be a muscular injury.

Bayern coach Thomas Tuchel made six changes from the team that drew 2-2 with Madrid in the first leg of their Champions League semifinal, with Guerreiro, among those starting. The player made a good impression after going on at halftime in the first leg on Tuesday.

Alphonso Davies, Aleksander Pavlovic, Serge Gnabry, Eric Maxim Choupo-Moting and Mathys Tel also started in place of Noussair Mazraoui, Konrad Laimer, Leon Goretzka, Thomas Müller and Leroy Sané (all substitutes) as well as Jamal Musiala (not in squad).

Bayern visits Madrid on Wednesday. The winner of the two-leg semifinal will play either Borussia Dortmund or Paris Saint-Germain in the final in London on June 1.
